The terms that govern your use of Vesta Plus.

These Terms of Service ("Terms") form a binding agreement between you and Vesta Plus Inc. ("Vesta Plus," "we," "us") governing your access to and use of the platform available at vestaplus.ca and any related services. By creating an account, subscribing, or otherwise using the service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the service.

Vesta Plus is a document automation tool that helps Québec businesses generate privacy policies and related compliance documents aligned with Law 25 (An Act modernizing legislative provisions as regards the protection of personal information). Documents are generated automatically from the information you provide through our questionnaire.

To use Vesta Plus, you must:

• →Be at least 18 years old and legally capable of entering into a binding contract
• →Use the service on behalf of a business or in a professional capacity
• →Provide accurate, current, and complete account information
• →Keep your password confidential and remain responsible for all activity under your account
• →Notify us promptly of any unauthorized use of your account

Access to paid features is provided on a subscription basis. Payments are processed by Stripe; Vesta Plus never stores your card numbers.

Failure to pay may result in suspension or termination of your access to paid features.

When using Vesta Plus, you agree not to:

• →Use the service for any unlawful, fraudulent, or misleading purpose
• →Submit false, infringing, or unlawful information through the platform
• →Resell, sublicense, or commercially exploit the service without our written consent
• →Reverse engineer, scrape, or attempt to extract source code or underlying data
• →Interfere with, disrupt, or attempt to gain unauthorized access to the service or its infrastructure
• →Use automated means to access the service in a way that imposes an unreasonable load
• →Misrepresent generated documents as legal advice provided by Vesta Plus

The Vesta Plus platform, including its software, design, branding, and templates, is owned by Vesta Plus and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. The compliance documents generated for you, once delivered, are yours to use for your own business purposes. You may not copy or reuse the underlying platform, templates, or branding outside the service.

You retain ownership of the information you submit and the documents generated for you. You grant us the limited right to process this information solely to operate and provide the service. Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. You are responsible for ensuring you have the right to submit any information you provide.

The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that generated documents will meet your specific legal or regulatory requirements.

To the fullest extent permitted by law, Vesta Plus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the service. Our total aggregate liability for any claim relating to the service shall not exceed the amounts you paid to Vesta Plus in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Vesta Plus and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your infringement of any rights of a third party.

You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that creates risk or legal exposure for us or others. Upon termination, your right to use the service ends immediately; provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply. Data retention following termination is governed by our Privacy Policy.

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, and the courts of the judicial district of Montréal, Québec, have exclusive jurisdiction over any dispute. We may update these Terms at any time; for material changes, we will notify you by email at least 15 days before they take effect, and the updated date in the header is authoritative. Continued use of the service after that date constitutes acceptance of the revised Terms.
